Job overview
This role is responsible for ensuring the Company’s interests are safeguarded at all times by advising the Company on issues relating to contracts from drafting through to commercial risk limitation and in addition to represent the Company in all matters relating to contract implementation.
Your impact on our goals
Overview
Provide legal support to all areas of Ooredoo’s business in respect of contractual matters.
Draft all contracts ensuring that contracts meet with all international/regulatory/ governmental/commercial standards, safeguard the company’s interests, limit the risk potential and protect it from litigation.
Resolve any issues related to contractual issues as may arise from the business.
Maintain records of all contracts within the business, in order that they are captured, tracked and appropriately reviewed as required by the business.
Review draft legal contracts submitted by Business Units for services provided to Ooredoo to ensure they are in the companies interests and the companies interests are safeguarded at all times.
Represent the Company from a legal perspective in negotiating legal terms for contracts and advising the business on the implementation of contracts and be vigilant to potential risks.
Provide advice to Contracts Section for all contract/tender process etc. to ensure compliance with the company’s contractual standards.
Provide information to other Legal departments in cases where the Company is being pursued or is instigating actions of a contractual nature.
Liaise with all the company’s external law firms/advisors as necessary.
Undertake research on relevant laws of the land, new legislation, etc, and recommend any enhancements to the companies contracting processes or procedures to protect its interests.
Provide advice to BU’s on all non-compliance or interpretation or application of contractual issues, ensuring they have the information necessary to take the appropriate corrective actions.
Supervise the Legal support team in respect of their day-to-day work to ensure that they are managed, developed, motivated and appraised to the highest level of performance at all times.
Act as the main point of contact for the business concerning any contractual matters.
M & A
Undertake the lead legal role on M&A transactions, engaging and managing Group attorneys and outside counsel as appropriate.
Develop the overall legal strategy for M&A and ensure its successful implementation and dissemination
Scope and manage due diligence strategy and process and leads its implementation
Draft and negotiate M&A agreements and other key legal documents including term sheets, memoranda of understanding, shareholder agreements, and share purchase agreements in conjunction with the strategy department and external counsel as necessary
Work with Group Strategy, Digital and Finance to optimize financial, tax and transaction structuring
Provide recommendations to the Group regarding all legal aspects of M&A transactions

This role has direct impact on the business through accountability for contractual obligations and risk mitigation.
Costs & Profitability
No direct impact on costs & profitability; However, quality of advice on contractual matters/obligations has significant impact on Ooredoo’s operations and business continuity (in areas of procurement, tendering, employment contracts, etc).
Problem Solving
Problem solving would typically revolve around independently seeking first to understand issues relating to preventing or resolving litigation and then for finding an appropriate solution.
Resolving day to day issues within the unit would also be done independently
More significant problems relating to litigation cases would be taken in conjunction with external legal counsel and internally with the Chief Legal and Regulatory Officer.
Planning & Organizing
Plans own time and that of others within the department to ensure work is carried out on time and within budget, managing the resource requirements with deliverables.
Manages research projects and litigation projects effectively, managing external suppliers as well as internal sources to ensure cases are prepared for in the appropriate time spans.
Your profile
Experience
10 years of work experience
Experience of dealing with corporate contractual issues from a law perspective with a major law firm and/or telco business.
Specific areas: Contract Law.
Telecom law and regulations, litigation.
Qualifications
Bachelor’s degree in law
